  2.                   SALE REPRESENTATION AGREEMENT 
  3.  
  4. ___________, referred to as BBS and _______________, referred to
  5. as SALES  REPRESENTATIVE AGREE:

  7. ___________, referred to herein as BBS, herewith appoints 
  8. _________________, referred  to herein as SALES REPRESENTATIVE, 
  9. as a sales representative for  a period of ________ in the 
  10. following territory:

  15. SALES REPRESENTATIVE shall represent the following products 
  16. offered by the BBS:

  22. The territory described above shall be a___________ territory for 
  23. a period of __________

  26. All such orders shall be taken at the stated price for the 
  27. product in effect at that time, unless prior approval, in writing 
  28. for another price has been agreed upon. All such orders shall be 
  29. subject to acceptance by the company and, if terms are offered, 
  30. subject to final credit approval by BBS. BBS shall have the right 
  31. to provide contract blanks should it so desire for sales orders, 
  32. and the same shall be used by SALES REPRESENTATIVE if provided.

  34. For any and all orders solicited within SALES REPRESENTATIVE's 
  35. territory, subject to the qualifications set below, SALES  
  36. REPRESENTATIVE shall be entitled to a commission of:
  37.  
  38. ___ Per cent of _____ sales

  40. Said commissions shall be paid on a _______ basis. BBS may, in 
  41. its discretion, withhold all or a portion of any commission if 
  42. payment has not been received in full. Should BBS advance any 
  43. commission and the sale not be collected, then the SALES 
  44. REPRESENTATIVE shall reimburse ___________ for the same upon
  45. request.

  47. THIS AGREEMENT is for the provision of independent contractor 
  48. services, and, shall not be construed as an employment contract. 
  49. SALES REPRESENTATIVE shall pay all expenses incurred and shall 
  50. not incur any liability for the account of BBS.

  52. During the term of the agreement, SALES REPRESENTATIVE may be 
  53. privy to certain trade secrets and proprietary information which 
  54. is the property of ___________. SALES REPRESENTATIVE agrees not 
  55. to disclose the same, and shall separately execute a standard 
  56.                            
  57. trade secret preservation agreement and periodic compliance 
  58. certifications thereof. This duty shall survive any termination 
  59. of this agreement.

  63. The sales distributorship herein shall be renewed for an 
  64. additional period of __ months at the expiration of the initial 
  65. term herein, should _______________ sell a gross total of $
  66. _______(______________________________________&___/100 dollars),
  67. in collected sales. Any further renewals shall be the subject of a
  68. separate written agreement.

  72. The BBS shall have the right to terminate this agreement for any 
  73. material non-compliance by SALES REPRESENTATIVE of the duties 
  74. assumed herein. Immediate cancellation may occur for the 
  75. following reasons: 
  76.  
  77. 1. Disclosure of trade secrets 
  78.  
  79. 2. Failure to turn over any funds collected, due to BBS within 3 
  80. working days of receipt 
  81.  
  82. 3. Violating any non-competition duties specified herein 
  83.  
  84. 4. Being below any agreed sales quote for two months by 50% 
  85.  
  86.  
  87. Further, if BBS determines, bona fide, that SALES REPRESENTATIVE 
  88. is neglecting the distributorship, it may serve a Notice of 
  89. Deficiencies upon SALES REPRESENTATIVE, which Notice shall 
  90. specify the general areas of deficiency. Unless corrected within 
  91. ___ days, the BBS may cancel the distributorship by ___ days 
  92. notice.

  96. BBS may provide supplies, promotional materials, technical 
  97. manuals, books and trade samples to SALES REPRESENTATIVE. All of 
  98. the same shall be returned upon termination of the 
  99. distributorship. Further, as to any materials marked trade 
  100. secret, all copies thereof shall be returned.

  106. After termination of this agreement, for whatever reason, the 
  107. SALES REPRESENTATIVE shall not engage in competition against BBS, 
  108. which shall be defined as acting as a sales representative for a 
  109. direct competitor, or, act in any capacity including as owner or 
  110. shareholder, of any telecommunications service providing 
  111. messaging, chat and data transfers for personal computers for a 
  112. period of ___ months in the same sales territory as originally 
  113. assigned herein.

  117. This is the entire agreement between the parties, and this 
  118. agreement may only be altered in writing executed by the parties 
  119. hereto.
